Terms of Use

The rules for agents and staff using the ePay Reach platform, including conduct, commissions and acceptable use.

1. Acceptance of terms

These Terms of Use ("Terms") govern your access to and use of the ePay Reach mobile app and web dashboard (the "Service"), operated by ePay ("ePay", "we", "us") in Ethiopia. By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility & accounts

The Service is for authorised field agents and staff who are 18 years or older. Your account is created with your phone number, and you sign in using a one-time passcode (OTP) sent by SMS. You are responsible for keeping access to your phone and account secure, and for all activity that occurs under your account.

You may enable an on-device PIN or biometric app-lock for extra protection; this lock is stored only on your device.

3. Acceptable use

You must not:

  • submit false, fraudulent or duplicated merchant registrations;
  • falsify location, shift, visit or check-in data;
  • access data, agents or territories outside your assigned scope;
  • interfere with, disrupt or attempt to circumvent the Service.

4. Agent obligations & merchant data

When you register a merchant, you are responsible for the accuracy of the information you submit, including business details, TIN, licenses, owner contact and uploaded documents.

You must obtain the merchant's (and the business owner's) consent before collecting and submitting their personal information and documents through the Service, and before initiating identity verification on their behalf.

6. Commissions & payouts

Commissions and overrides are earned on real, qualifying transactions and merchant activations, and are calculated by the platform according to the rules in effect at the time of each qualifying event. Payouts are subject to verification, approval, holds and applicable withholding. We may hold, adjust, reverse or claw back commissions arising from fraudulent, erroneous, duplicated or reversed transactions.

7. Suspension & offboarding

We may suspend or terminate your access to the Service at any time for breach of these Terms, suspected fraud, or where required by the ePay network or applicable law. On offboarding, your access is revoked and any outstanding commissions remain subject to the verification and clawback rules above. Provisions that by their nature should survive termination will continue to apply.

8. Intellectual property

The Service, including its software, design, trademarks and content, is owned by ePay or its licensors and is protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose only.

9. Disclaimers & liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, ePay is not liable for indirect, incidental or consequential damages arising from your use of the Service.

10. Governing law

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia, without regard to conflict-of-laws principles. Disputes are subject to the exclusive jurisdiction of the competent courts of Ethiopia.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, notify you through the Service. Continued use of the Service after changes take effect means you accept the updated Terms.
